This Template License Agreement ("License") governs your use of any template, document, checklist, or downloadable product ("Template") purchased from Warranted Works (warrantedworks.com), operated by Warranted Works LLC. By purchasing a Template, you agree to this License.

1. GRANT OF LICENSE

Subject to this License, Warranted Works grants you a limited, personal, non-exclusive, non-transferable license to download one copy of the Template, customize it for your own use, and use the customized version in your own business or personal agreements and documents. This license is for one individual user only. It may not be transferred, shared, or sublicensed. If you purchase as a business or entity, this license covers use by your own employees and personnel acting for the entity, in the entity’s own agreements; it does not permit distributing the Template outside the entity, and each business that wants to use the Template must purchase its own license. For example, a publisher, studio, agency, or other business may use the Template to enter into its own agreements (such as with an author or illustrator), but may not give, send, forward, or otherwise make the blank or reusable Template available to those authors, illustrators, clients, counterparties, or any other third party for their own use or reuse.

2. OWNERSHIP

All Templates are owned by Warranted Works LLC and protected by United States copyright law and other applicable intellectual property laws. This License does not transfer ownership to you. You are purchasing a license to use the Template — not the Template itself.

3. PERMITTED USES — YOU MAY:

Customize the Template by adding, removing, or modifying provisions to fit your needs
Use the customized Template in agreements with your own clients, publishers, collaborators, and business partners
Save and store copies of the Template for your own records
Deliver a completed, executed agreement generated from the Template to your counterparty (for example, an author, illustrator, or vendor) as part of a specific, bona fide transaction

3A. Permitted Assistance

You may provide a Template to:

A lawyer or other professional adviser you retain to assist you, if that adviser is subject to professional or contractual confidentiality obligations; or
A private artificial-intelligence service solely to help you understand, organize, complete, compare, review, or revise the Template for your own permitted use.

For purposes of this Section, a “private artificial-intelligence service” means a non-public account or restricted-access workspace whose applicable terms or available privacy settings prevent submitted content from being used to train or improve generalized models and whose content is not made available to other users.

The recipient receives no license or independent right to use the Template.

When using an artificial-intelligence service, you must:

Limit access to you and, for an entity license, the personnel covered by Section 1;
Use available account, workspace, and privacy settings that prevent your content from being used to train or improve generalized models;
Keep the Template out of any public or shared chatbot, custom assistant, knowledge base, dataset, or retrieval system;
Upload confidential, personal, or third-party material only if you have authority to disclose it; and
Refrain from using the Template or resulting output to create or provide a competing template, course, document service, or other reusable product.

Artificial-intelligence output does not expand your rights under this License. You are responsible for reviewing the output and for every choice, change, and use of the completed document.

4. PROHIBITED USES — YOU MAY NOT:

Sell, license, sublicense, rent, or transfer the Template or any rights in it to any third party
Share the Template—original or modified—except with users covered by an entity license and the professional advisers and private artificial-intelligence services permitted by Section 3A.
Post the Template publicly or make it available for download on any platform
Include the Template in a course, training program, or educational product without written permission
Use the Template as a basis for your own template shop or competing product
Represent the Template as your own original work
Remove any copyright notices, disclaimers, or Warranted Works branding from the Template
Provide the blank or reusable Template — or any copy that is not a completed, executed agreement for a specific transaction — to a counterparty or third party for their own use or reuse

Any material violation of Section 3A or Section 4, including prohibited artificial-intelligence use or unauthorized redistribution, terminates this License immediately. Unauthorized redistribution may also constitute copyright infringement.

5. NOT LEGAL ADVICE; NO WARRANTY

The Template is designed to help you prepare a document for your own transaction. You must complete the blanks, make the identified business choices, and adapt the document to your facts. Warranted Works does not provide legal advice or warrant that the Template is sufficient for every situation, jurisdiction, or purpose. Consult a licensed attorney when your transaction, risk, or jurisdiction requires individualized advice.

6. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WARRANTED WORKS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF A TEMPLATE. WARRANTED WORKS’ TOTAL LIABILITY IS SUBJECT TO THE LIMITATION OF LIABILITY IN THE TERMS OF USE, WHICH IS INCORPORATED INTO THIS LICENSE BY REFERENCE.
